Terms of Service

1. Who these terms are between

These Terms of Service ("Terms") are an agreement between you (or the organisation you represent, "you") and Urjadata Solar Renewable Energy Private Limited ("we", "us"), the operator of UrjaOps Platform and its PM-KUSUM Ops AI module (the "Service"). By creating an account or using the Service you accept these Terms. If you do not accept them, do not use the Service.

2. What the Service does

UrjaOps Platform is enterprise software for renewable-energy project lifecycle management. PM-KUSUM Ops AI helps you track project phases, deadlines, registers (PPA, land, bank guarantees, EPC, legal matters), documents, and financials, and offers AI assistance for drafting.

The Service is an operational tool, not professional advice. It does not provide legal, financial, tax, engineering, or regulatory advice. Outputs — including deadline calculations, lifecycle phases, and AI-generated drafts — are aids to your own judgement. You remain responsible for verifying anything you rely on, and for every filing, submission, or decision you make.

3. Accounts and your workspace

• You must give accurate registration details and keep your credentials confidential.
• You are responsible for all activity in your workspace, including that of users you invite.
• You must be authorised to bind the organisation you register on behalf of.
• Tell us promptly at support@urjaops.com if you suspect unauthorised access.

4. Your data

You keep all rights in the data you put into the Service ("Your Data"). You grant us only the limited licence needed to host, process, back up, and display Your Data in order to provide the Service. We do not sell Your Data, and we do not use it to train AI models.

How we handle personal data is set out in the Privacy Policy and, where we act as your processor, the Data Processing Addendum.

5. AI-assisted features

The Service can generate drafts using AI. AI output is probabilistic and may be wrong. It is marked as a draft and may contain [TO CONFIRM] markers where a value could not be verified. You must review, verify, and edit every AI output before relying on or filing it. We are not responsible for consequences of unverified AI output. See the Acceptable Use Policy.

6. Fees and taxes

• There is no subscription and nothing auto-renews. Core tracking is free forever. A project is a one-time unlock: you pay once and it stays unlocked for that project's full life.
• Prices are on the Pricing page and are in Indian Rupees (INR). The price per project falls as your organisation activates more.
• Payment is taken via our payment gateway at the time you activate a project. We do not store card details.
• Applicable taxes (including GST) are charged in addition unless stated otherwise.
• Refunds are governed by the Refund & Cancellation Policy.
• We may change prices, but a change never affects a project you have already unlocked; new prices apply only to later activations.

7. Acceptable use

You must use the Service lawfully and in line with the Acceptable Use Policy, which forms part of these Terms. In particular you must not misuse the Service, attempt to breach its security or tenancy boundaries, or upload unlawful content.

8. Availability and support

We aim to keep the Service available and to fix problems promptly, but we provide it on an "as available" basis. Unless your written agreement says otherwise, no uptime or response-time SLA applies. We may suspend the Service temporarily for maintenance, security, or reasons outside our control.

9. Intellectual property

We (and our licensors) own the Service, its software, and its branding. These Terms grant you a non-exclusive, non-transferable right to use the Service during your subscription — no other rights are granted. You must not copy, reverse-engineer, or resell the Service except as the law allows.

10. Disclaimers and limitation of liability

To the maximum extent permitted by law, the Service is provided without warranties of any kind, express or implied, including fitness for a particular purpose and non-infringement.

To the maximum extent permitted by law, our total aggregate liability arising out of or relating to the Service is limited to the fees you paid us in the 12 months before the event giving rise to the claim. We are not liable for indirect, incidental, special, or consequential loss, or for loss of profit, revenue, data, goodwill, or business opportunity — including any loss arising from a missed deadline, an unverified AI output, or a decision made using the Service.

Nothing in these Terms excludes liability that cannot be excluded by law, including for fraud or death or personal injury caused by negligence.

11. Indemnity

You will indemnify us against claims, losses, and reasonable costs arising from Your Data, your use of the Service in breach of these Terms, or your breach of applicable law.

12. Term, suspension and termination

• These Terms apply for as long as you have an account. You may stop using the Service or ask us to close your account at any time — see the Refund & Cancellation Policy.
• We may suspend or terminate your access for a material breach of these Terms or where required by law — with notice where reasonably possible.
• On termination, your right to use the Service ends. You may export Your Data at any time before then; afterwards we delete or anonymise it per the Privacy Policy retention rules.
• If we terminate your account without cause while you hold unlocked projects, we will refund a fair part of what you paid for them.

13. Changes to these Terms

We may update these Terms. If a change materially affects your rights we will give reasonable notice (by email or in the Service). Continuing to use the Service after a change takes effect means you accept the updated Terms. The "Last updated" date above always reflects the current version.

14. Governing law and disputes

These Terms are governed by the laws of India. The courts at Deori, Sagar, Madhya Pradesh have exclusive jurisdiction, subject to any mandatory consumer-protection rights you have where you live. Before starting proceedings, please contact us so we can try to resolve the matter.

15. General

• If a provision is unenforceable, the rest of these Terms continue in force.
• Our not enforcing a right is not a waiver of it.
• You may not assign these Terms without our consent; we may assign them to a successor of our business.
• These Terms, plus the policies they link to, are the entire agreement between us on this subject.
